Model text of state-owned land use right transfer contract (parcel of land)

Article 1 both parties to this contract

Article 2 Party A transfers the land use right according to this contract. The land ownership belongs to the people's Republic of China, and underground resources, buried objects and municipal utilities are not included in the scope of land use right transfer

Article 3 the land use right transferred by Party B according to this contract can be transferred, leased, mortgaged or used for other economic activities in accordance with relevant regulations within the service life

Party B shall abide by the laws and regulations of the people's Republic of China and the relevant provisions of provinces (autonomous regions and municipalities directly under the central government) in the development, utilization and management of land within the scope of the assigned land use right, and shall not damage the social and public interests, and its legal rights and interests shall be protected by law

Article 4 the land parcel transferred by Party A to Party B is located in, with an area of square meters. Its location and scope are shown in the attached drawings of the contract. The attached drawings have been signed and confirmed by both parties

Article 5 The term of land use right transfer under this contract is years, calculated from the date of issuing the "state owned land use certificate of the people's Republic of China" of the plot

Article 7 the annex "land use conditions" to this contract is an integral part of this contract and has the same legal effect as this contract. Party B agrees to use the land in accordance with the land use conditions

Article 8 Party B agrees to pay Party A the land use right transfer fee, land use fee and land appreciation fee (tax) when Party B transfers to a third party in accordance with the provisions of the contract

Article 9 the transfer fee of the land use right of this plot is RMB (US dollars or Hong Kong dollars, etc.) per square meter, and the total amount is RMB (US dollars or Hong Kong dollars, etc.)

Article 10 within days after this contract is signed by both parties, Party B shall pay% of the total amount of land use right transfer fee to Party A in cash cheque or cash, totaling RMB (US dollars or Hong Kong dollars, etc.) as the deposit for the performance of the contract

Party B shall pay all the land use right transfer fees within 60 days after signing this contract. If Party B fails to pay all the land use right transfer fees within days, Party A has the right to terminate the contract and may request Party B to compensate

Article 11 Party B shall, within days after paying all the land use right transfer fees to Party A, go through the land use right registration procedures in accordance with the regulations, obtain the "state owned land use certificate of the people's Republic of China" and obtain the land use right

Article 12 Party B agrees to pay the land use fee year by year according to the regulations of the government from year to year, and the payment time is month day of the year. The land use fee is RMB (US dollars or Hong Kong dollars, etc.) per square meter per year

Article 13 Party B agrees to pay Party A the land use right transfer fee and other fees in US dollars (Hong Kong dollars, etc.). (Note: it depends on the specific situation)

if Party B needs to continue to use the land, it must submit an application for renewal to Party A within days before the expiration of the term, and the sales profit rate is 5.5%. After determining the new land use right transfer term, transfer fee and other conditions, Party B shall sign a renewal contract with Party A and go through the land use right registration procedures again

Article 16 either party shall not be responsible for the delay or failure to perform its obligations under the contract due to force majeure and your understanding of its own concrete pressure testing machine. However, all necessary remedial measures must be taken to reduce the losses caused
